Welcome to Proxyon. These Terms of Service (the “Terms”) are a legal agreement between you and Talon Ops LLC, a Wyoming limited liability company doing business as Proxyon (“Proxyon,” “we,” “us,” or “our”). They govern your access to and use of our website at proxyon.io, our dashboard, our proxy network, and any related tools or services we offer (together, the “Service”).
Please read these Terms carefully. By creating an account, making a purchase, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by them.
1. Acceptance of Terms
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
- You must be at least 18 years old and able to enter into a binding contract.
- If you are using the Service on behalf of a company or other organization, you confirm that you have the authority to bind that organization to these Terms, and “you” refers to both you and that organization.
- You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and the terms of any third-party websites or services you access through our proxies.
We may update these Terms from time to time. The “Last updated” date above will always reflect the current version. How changes take effect is described in Section 7.
2. User Accounts & Registration
2.1 Creating an account
To use most parts of the Service, you’ll create an account. When you do, you agree to:
- Provide accurate, current, and complete information.
- Keep that information up to date.
- Use only your own email address, payment method, and contact details.
2.2 Keeping your account secure
You are responsible for everything that happens under your account. That means you agree to:
- Keep your password and login credentials confidential.
- Not share your account or let anyone else use it.
- Notify us right away at contact@proxyon.io if you believe your account has been accessed without your permission.
We are not liable for any loss that results from someone using your account, whether or not you authorized it. We recommend enabling two-factor authentication where available.
2.3 Our right to suspend or terminate accounts
We may suspend, limit, or close your account, in whole or in part, with or without notice, if we reasonably believe that:
- You have breached these Terms or our acceptable use rules (Section 4).
- You have failed to pay amounts you owe.
- Your activity creates a security, legal, financial, or reputational risk to us, our network, other customers, or any third party.
- You provided false information or won’t complete a verification step we reasonably request.
- We are required to do so by law or by a valid legal request.
Where it’s practical and appropriate, we’ll give you notice and a chance to fix the problem first, but we don’t have to if your conduct is unlawful or poses an immediate risk.
2.5 No KYC required (for now)
We don’t currently require identity verification (KYC) to sign up or buy. This is simply to keep things fast and simple, not an invitation to misuse the Service. We reserve the right to introduce verification in the future, and to request identity or other verification from you at any time if we suspect prohibited activity (see Section 4.4). If you decline a reasonable verification request in those circumstances, we may suspend or close your account.
2.4 Closing your own account
You may close your account at any time by contacting contact@proxyon.io. Closing your account does not entitle you to a refund of any unused balance or service period except as described in Section 5. Any obligations you owe us (for example, unpaid fees) survive the closing of your account.
3. Intellectual Property
3.1 What we own
The Service, including our website, dashboard, software, network infrastructure, logos, trademarks, text, graphics, and design, is owned by Proxyon or our licensors and is protected by intellectual property laws. The “Proxyon” name and logo are our trademarks. Nothing in these Terms gives you any ownership of, or right to use, our intellectual property except as expressly permitted here.
3.2 The license we grant you
As long as you comply with these Terms and pay any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own lawful business or personal purposes.
You may not:
- Copy, modify, distribute, rent, or sublicense the Service in ways not permitted by these Terms. (Reselling is allowed under the conditions in Section 3.3.)
- Reverse engineer, decompile, or attempt to extract our source code or recreate the Service.
- Use our brand, logo, or trademarks without our prior written permission.
3.3 Reselling the Service
You’re welcome to resell our proxies. We just ask that you notify us that you’re reselling, by emailing contact@proxyon.io, so we know how our network is being used. Prior written approval isn’t required, but the following always apply:
- You remain fully responsible for your resale customers’ activity, and for making sure their use complies with these Terms (including the acceptable use rules in Section 4).
- You may not present yourself as Proxyon or as an official partner, or use our brand, logo, or trademarks, without our written permission.
- We may set reasonable conditions on, or ask you to stop, reselling if it creates abuse, security, or reputational problems for our network.
3.4 IP addresses are licensed, not sold
Any proxy IP addresses we provide are licensed to you for use during your paid service period only. You don’t own them and have no long-term claim to any specific IP. We may rotate, reassign, or change IP addresses as part of normal network management. We don’t guarantee that any specific IP will always be available, will stay in a specific location, or won’t be blocked by a particular website: those things can depend on factors outside our control.
3.5 Your data and your feedback
You keep ownership of any data you lawfully collect using the Service. We make no claim to it, and we take no responsibility for it either (see Section 4.3).
If you send us feedback, suggestions, or ideas about the Service, you grant us a free, worldwide, perpetual license to use them without any obligation to you, and we’re free to build them into the Service.
4. Prohibited Conduct / Acceptable Use
Proxies are powerful tools, and we expect you to use them responsibly. You are fully responsible for everything you do through the Service, and for everything done by anyone you give access to, including resale customers.
4.1 You may not use the Service to:
- Commit fraud or financial crime, including carding, using stolen credit cards or financial information, money laundering, or phishing.
- Hack or attack systems, including unauthorized access to any system, network, or account; DDoS or other denial-of-service attacks; port scanning; brute-forcing; or spreading malware, viruses, or other harmful code.
- Spam or run deceptive campaigns, including unsolicited bulk email, chain messages, ad fraud, or fake click generation.
- Violate others’ rights, including infringing intellectual property, violating privacy or data-protection laws, or accessing personal data without a lawful basis.
- Distribute illegal or harmful content, including child sexual abuse material (which we report to authorities), content that incites violence, or any other unlawful material.
- Break the law, including any use that violates applicable local, state, national, or international law, or the terms of service of any website you access through our proxies.
4.2 General rules
You also agree not to:
- Share access to the Service in ways not allowed by these Terms (reselling is permitted under Section 3.3).
- Interfere with or disrupt the Service, our network, or other customers.
- Use the Service to map, probe, or benchmark our network for competitive purposes, or to build a competing product.
- Circumvent any usage limits, security measures, or access restrictions we put in place.
4.3 You are responsible for what you do and what you collect
You, not Proxyon, are solely responsible for the activity you conduct and the data you collect through the Service. That includes making sure you have the right permissions and a lawful basis (for example, under the GDPR or CCPA) for collecting, storing, and using any data, including personal data. The fact that a website is reachable through our proxies does not mean you’re allowed to access it. You must independently comply with all applicable laws and website terms.
4.4 Verification and enforcement
We may ask you to verify your identity or other information if we suspect prohibited activity, and we may suspend access until you do. If we reasonably believe you’ve broken the law, we may report it to the appropriate authorities and ban you from the Service. We may investigate suspected violations and take any action we consider appropriate.
5. Payment, Billing & Refunds
5.1 How payment works
Proxyon operates primarily on a pay-as-you-go model: you pay for the amount of service you choose to use. You agree to pay all fees and applicable taxes shown on our website or dashboard at the time of your purchase. Prices may change at any time, and the price that applies is the one shown when you place your order.
We don’t store your full payment card details. Payments are processed by trusted third-party payment providers, and your use of those providers is subject to their own terms. We may add a card-linking feature in the future. If and when we do, the applicable terms (including any automatic charges) will be clearly disclosed to you before you opt in, and any saved payment method will only be charged with your authorization.
You are responsible for the accuracy of your payment information and for keeping it current.
5.2 Refund policy
We want you to be happy with the Service. All refunds are issued at Proxyon’s sole discretion. The cases below describe when you may be eligible to request a refund, but meeting any of these conditions does not guarantee one. We make the final call on every refund request, case by case.
Satisfaction refund (the “tell us why” guarantee). If you’re not satisfied with a purchase, you may request a full refund within 24 hours of that purchase. Just contact us at contact@proxyon.io and tell us why it didn’t meet your expectations. To keep this fair for everyone, this guarantee generally applies where you have not materially consumed the service you bought (as a guide, usage under 500 MB of data, or under a comparable threshold for IP- or thread-based products).
Service-fault refund. If you can’t connect to our proxies or experience a service problem that our support team can’t resolve within 24 hours of you reporting it, you may be eligible for a refund of the affected service, provided you contact us promptly and your usage hasn’t materially exceeded the thresholds above.
Refunds are generally NOT available when:
- The data or service you purchased has already been substantially used or consumed.
- The request is made more than 24 hours after the purchase (outside the windows above).
- Payment was made in cryptocurrency. Crypto payments are non-refundable to the original payment method in all cases.
- Your account was suspended or terminated for breaking these Terms.
- You deleted your account while a service was still active. Any remaining service period is non-refundable.
5.3 Chargebacks
If you start using the Service and then file a chargeback or payment dispute for legitimate charges, that’s a breach of these Terms. We may suspend your account while we investigate and may contest the chargeback using our usage logs and transaction records. Please contact us first at contact@proxyon.io, since we’d much rather sort it out directly.
6. Dispute Resolution & Governing Law
Please read this section carefully, as it affects your legal rights, including how disputes are resolved and your ability to bring a lawsuit in court or participate in a class action.
6.1 Governing law
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement in this section.
6.2 Talk to us first
Before starting any formal proceeding, you agree to first contact us at contact@proxyon.io and try to resolve the dispute informally. Most issues can be sorted out this way. If we can’t resolve it within 90 days, either of us may move forward with arbitration as described below.
6.3 Binding arbitration
In plain terms: instead of going to court, you and Proxyon agree that disputes will be settled by a neutral private arbitrator whose decision is final and binding. Arbitration is usually faster and less expensive than a lawsuit.
Any dispute that isn’t resolved informally will be settled by final and binding individual arbitration, rather than in court. Arbitration will be administered by a recognized arbitration provider under its rules then in effect, before a single arbitrator. The arbitration will take place in Wyoming, or by phone or video, or in the county where you live if we agree. A court of competent jurisdiction in Wyoming may enter judgment on the award.
Exceptions. Either of us may still:
- Bring an individual claim in small claims court if it qualifies.
- Ask a court for an injunction or other equitable relief to stop the actual or threatened misuse of our intellectual property, network, or confidential information.
6.4 Class action and jury trial waiver
To the fullest extent allowed by law, you and Proxyon agree that:
- Claims may only be brought in your or our individual capacity, and not as a plaintiff or member of any class, collective, or representative action.
- The arbitrator may not combine more than one person’s claims or preside over any class or representative proceeding.
- You and Proxyon each waive the right to a jury trial.
6.5 Severability
If any part of this Section 6 is found unenforceable, the rest of it stays in effect, except that if the class action waiver in 6.4 is found unenforceable, then this entire Section 6 (arbitration) will not apply to that dispute.
7. Modifications to the Terms
We may modify these Terms from time to time, for example to reflect changes in our Service, our business, or the law.
- When we make a material change, we’ll update the “Last updated” date and post the revised Terms on our website. Where appropriate, we’ll also notify you (for example, by email or a notice in your dashboard).
- Changes take effect when posted, or on a later effective date if we state one.
- Your continued use of the Service after changes take effect means you accept the updated Terms. If you don’t agree, please stop using the Service and may close your account.
We may also change, suspend, or discontinue any part of the Service at any time. We’ll try to give reasonable notice of significant changes where we can.
If you don’t agree with an update, your remedy is to stop using the Service. We are not liable to you for modifying, suspending, or discontinuing the Service or any part of it.
8. Disclaimers & Limitation of Liability
8.1 “As is”
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent allowed by law. We don’t warrant that the Service will be uninterrupted, error-free, secure, or that any specific IP or website will be accessible. You use the Service at your own risk.
We are not responsible for what you do with the Service. Proxyon provides network infrastructure only. We do not monitor, control, endorse, or take responsibility for the activity you carry out, the websites you access, the data you collect, or the consequences of any of it. Responsibility for your use of the Service, and your resale customers’ use, rests entirely with you.
8.2 Indemnification
You agree to defend, indemnify, and hold harmless Proxyon (Talon Ops LLC) and its members, officers, employees, and agents from any claims, damages, losses, liabilities, and reasonable legal fees arising out of or related to:
- Your use of the Service and any data or content you transmit or collect through it.
- Your violation of these Terms or any applicable law.
- Your violation of any third-party right, including intellectual property or privacy rights.
We may take over the defense of any matter you’re required to indemnify us for, and you agree to cooperate.
8.3 Limitation of liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, data, or goodwill.
- Our total liability to you for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD $50.
- We are not responsible for any loss, damage, claim, or liability arising from your use of the Service, including anything you or your resale customers do through it, your access to any website, or the data you collect.
Some jurisdictions don’t allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the maximum extent allowed by law.
9. General
- Entire agreement. These Terms (together with any policies referenced here, such as our Privacy Policy) are the entire agreement between you and Proxyon about the Service and replace any prior agreements on the subject.
- Assignment. You may not transfer or assign your rights under these Terms without our written consent. We may assign ours freely, including in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is found invalid, the rest of these Terms remain in full force.
- No waiver. If we don’t enforce a right or provision, that doesn’t waive it.
- Notices. We may send you notices by email or by posting them on our website or dashboard.
